About ParkLaw

ParkLaw is the independent law practice of Karen S. Park, JD, MBA, which focuses on serving entrepreneurs, founders and investors in matters related to corporate bankruptcy, debt/equity restructuring  and operational wind down. ParkLaw was launched to fill a need in the early stage venture and small business legal market for trusted advisors with a deep bench of corporate and restructuring expertise (without Big Law rates). ParkLaw is based in New York City.

About Karen

I am a former Big Law and private equity attorney with over 16 years' experience advising companies, funds and financial institutions as debtors as well as investors in and creditors of distressed mid- and large-cap companies. My experience spans the spectrum from giving strategic advice to negotiating out-of-court transactions to representing parties in cases arising under chapter 11 and 7 of the Bankruptcy Code. I have personally advised on over $2 billion in transaction value in the aggregate.

Today, I leverage my experience and network to help founders and investors navigate the complexities related to the restructuring or winding up of early stage ventures and investments. For example, I have helped startup founders quantify and mitigate potential personal liability exposure in winding down a business. I have also advised family offices in exiting and liquidating portfolio companies and funds as well as restructuring debt/equity investments.

I also counsel other attorneys or firms who need bankruptcy or corporate advice, but may not have the expertise in-house.

My JD is from the University of Toronto. I have an MBA with Distinction from Columbia Business School. Prior to launching my own firm, I practiced in the New York offices of Schulte Roth & Zabel and Shearman & Sterling and the Toronto offices of Blake Cassels & Graydon and Stikeman Elliott.

I like bourbon and Scotch, but have yet to find a rye that feels right to me. I enjoy boxing and cycling. My 5-year old niece thinks I am hilarious, but her younger brother and sister still have their doubts about me.

Bankruptcy & Restructuring


We advise businesses, founders and investors on issues arising from distressed or struggling ventures, whether as management, equity holders, creditors, lenders or purchasers. This can range from understanding the feasibility of simply walking away to identifying potential personal liability exposure to negotiating settlements to navigating formal bankruptcy proceedings (chapter 7, 11 or 13).

We also provide M&A and corporate transactional and strategic advice and support to law and investment firms. This includes structuring and drafting term sheets and definitive documentation for stock/asset acquisitions/divestitures and debt and equity investments, advising on entity formation (C-Corp vs. S-Corp vs. LLC), negotiating partnership, shareholder and operating agreements, among other things.
